AVANGRID Shareholders Overwhelmingly Approve All Company Proposals At Annual Meeting
ORANGE, Conn. — June 1, 2021 — AVANGRID, Inc. (NYSE: AGR) shareholders overwhelmingly approved all proposals presented at the company’s 2021 annual meeting today. With approximately 98% of shares present by proxy, the vote indicates continued strong shareholder support for AVANGRID’s strategic direction and governance system. The meeting was held virtually in response to the ongoing public-health crisis caused by COVID-19, and in accordance with related government guidelines to safeguard the health of all AVANGRID stakeholders.
At the annual meeting, the AVANGRID shareholders voted to elect each of the 14 nominees to the Board of Directors to serve one-year terms expiring at AVANGRID’s 2022 annual meeting. Additionally, the AVANGRID shareholders voted to approve the following items proposed by the Board of Directors, with approximately 99% of the votes cast in favor of each proposal:
- The ratification of the appointment of KPMG US, LLP as AVANGRID’s independent registered public accounting firm for 2021.
- Advisory approval of the compensation of AVANGRID’s named executive officers as described in the 2021 proxy statement.
- Approval of the amendment to the AVANGRID Amended and Restated Omnibus Incentive Plan.
At today’s meeting, AVANGRID’s Board Chairman Ignacio Galán stated: “AVANGRID is leading the energy transition in the US. We are investing in smart and resilient networks and renewable energy with flagship projects like Vineyard Wind, which will be the first large-scale offshore wind farm in the country.” Galán added, “We are also accelerating investments to improve our service and reach carbon neutrality, stimulating economic activity and job creation, and delivering sustainable value to our shareholders, our employees and to society.”
The final voting results will be available on a current report on Form 8-K that will be filed with the Securities and Exchange Commission and posted on AVANGRID’s website, www.avangrid.com.
